By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Description of the Service
Upline is an AI-powered assistant that helps users generate sales-related content, messaging hooks, text, and creative assets based on user-provided inputs and instructions.
Upline provides software tools only. We do not provide consulting, marketing, legal, financial, or professional advice.

2. Eligibility
You must be at least 16 years old (or the minimum legal age in your jurisdiction) to use the Service.
By using the Service, you represent that:
  • You have the legal capacity to enter into these Terms
  • You are not prohibited from using the Service under applicable laws

3. User Accounts and Access
  • Access to the Service may require authentication via email, Telegram, or other supported methods.
  • You are responsible for maintaining the confidentiality of your credentials.
  • You are fully responsible for all activities conducted through your account.
We reserve the right to suspend or terminate access if we reasonably believe your account is being misused or violates these Terms.

4. User Content4.1 Ownership
You retain all rights to the content, data, text, files, and materials you submit to the Service ("User Content").
4.2 License to Operate the Service
By submitting User Content, you grant Upline a limited, non-exclusive, non-transferable license to process, store, and analyze such content solely for the purpose of providing and improving the Service.
4.3 Responsibility
You are solely responsible for:
  • The legality, accuracy, and appropriateness of User Content
  • Ensuring that you have all necessary rights and permissions to submit such content
Upline does not review User Content for legality or compliance.

5. AI-Generated Output
  • The Service generates content automatically using artificial intelligence models.
  • AI-generated outputs may be inaccurate, incomplete, or misleading.
  • You acknowledge that outputs are not guaranteed to be correct or effective.
You are solely responsible for:
  • Reviewing and validating outputs before use
  • Any actions taken or decisions made based on AI-generated content

6. Prohibited Uses
You agree not to use the Service to:
  • Violate any applicable law or regulation
  • Generate unlawful, fraudulent, deceptive, or harmful content
  • Infringe intellectual property or privacy rights of others
  • Distribute malware, spam, or malicious content
  • Harass, abuse, or exploit others
  • Attempt to reverse engineer, scrape, or disrupt the Service
  • Use the Service in high-risk scenarios where failure could cause harm (e.g. medical, legal, or safety-critical decisions)
We may suspend or terminate access for prohibited use.

7. Intellectual Property
All rights, title, and interest in the Service, including software, architecture, design, trademarks, and branding (excluding User Content), remain the exclusive property of Upline.
No rights are granted except as expressly stated in these Terms.

8. Fees and Payments
Some features of the Service may be offered for a fee.
  • Prices, billing cycles, and payment terms will be disclosed prior to purchase
  • Fees are non-refundable unless required by law or explicitly stated otherwise
We may modify pricing or feature availability at any time.

9. Suspension and Termination
We may suspend or terminate your access to the Service at any time if:

  • Your use poses legal, security, or operational risk
  • The Service is discontinued
Upon termination, your right to use the Service will immediately cease.

10. Disclaimer of Warranties

To the maximum extent permitted by law, Upline disclaims all warranties, including:
  • Merchantability
  • Fitness for a particular purpose
  • Accuracy or reliability of outputs
  • Non-infringement

11. Limitation of Liability
To the maximum extent permitted by law:
  • Upline shall not be liable for any indirect, incidental, consequential, or special damages
  • Upline’s total liability shall not exceed the amount paid by you for the Service in the preceding 12 months (or zero if the Service is free)

12. Indemnification
You agree to indemnify and hold harmless Upline from any claims, damages, losses, or expenses arising from:
  • Your use of the Service
  • Your User Content
  • Your violation of these Terms or applicable law

13. Changes to the Service or Terms
We may modify the Service or these Terms at any time.
Material changes will be communicated through the Service or by other reasonable means. Continued use constitutes acceptance of the updated Terms.

14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction of the Service operator, without regard to conflict of law principles.
